The agreement between your winery and us. Short, because the product is simple and the commitments are the point.

The short version. No contract and no notice period — cancel from your own Shopify admin whenever you like. Your data is yours and never leaves your Shopify account. We charge for software, never a percentage of your sales, and we publish the most we can ever charge you.

1 · Who this is between

These terms are between Steward of Bangalore, India ("Steward", "we") and the business that installs the Steward app ("you", "the winery"). Installing the app means you accept them.

2 · What Steward does

Steward runs wine club memberships, allocations, timed releases and release-day billing on top of your existing Shopify store. We schedule and instruct; Shopify holds the payment methods, performs the charges and issues the orders.

What Steward will never do, as a matter of commitment and not just current scope: build or host your storefront, process payments, determine tax, verify age, assert licensing, or handle wholesale and distribution.

5 · Fees

Subscription fees are billed by Shopify to your Shopify account, monthly, in USD, at the tier matching your unique active member count. A 30-day free trial applies, no card required.

Setup and club migration are quoted before any work starts, at a published flat price, and invoiced separately. If we quote it, that is the price — it does not change because your data turned out to be untidy.

Fees already paid are not refundable, but you can cancel at any time and will not be charged again.

6 · Your data

You own it. We process it only to provide Steward, as described in our privacy page. We do not sell it, share it for advertising, or use your members' information to train models.

7 · Availability

We do not currently offer a service level agreement, and we would rather say so than imply one. Steward is operated by two people. We monitor it continuously, we are awake for your first release, and we will tell you honestly when something has gone wrong. If that is not enough assurance for your business, it is a fair reason not to use us yet.

8 · Liability

Steward instructs charges that you approve. We take that seriously — the system is built so a charge cannot be duplicated, and every release must be previewed before it runs.

Even so, to the extent the law allows: neither party is liable for indirect or consequential loss, and our total liability in any twelve-month period is limited to the fees you paid us in that period. Nothing here limits liability that cannot lawfully be limited, including for fraud or death and personal injury.

If we cause a billing error, we will fix it, tell you exactly what happened, and help you make it right with your members. That is the practical commitment; the paragraph above is the legal one.

9 · Suspension and termination

You may cancel at any time from your Shopify admin. We may suspend an account for non-payment after written notice, or immediately for unlawful use. If we terminate you for any other reason you get 90 days' notice and a full export.

10 · Changes to these terms

We will email the address on your account before a material change takes effect. Continuing to use Steward after that means you accept it.

11 · Governing law

These terms are governed by the laws of India, and the courts of India have exclusive jurisdiction. Nothing here removes consumer protections you have under the law of the country you operate in.
